If buyer and seller disagree

The arrangement handles disagreement through timed review rounds, payment obligations once an amount is finalised, and outside enforcement only after the internal process has been exhausted.

Internal review

The dispute process begins with timed review rounds

The agreement first channels disagreement through internal review stages. The seller responds, the buyer can answer back, and Condensis issues recommendations where both sides continue to disagree.

Round structure

The process is sequenced and each silence has a consequence.

  • Round 1 starts with the seller review and buyer response.
  • Recommendation rounds follow if both sides maintain the dispute.
  • Later silence can amount to acceptance of the relevant position.

Maximum timeline

The agreement limits how long the internal process can run.

  • The internal process runs for a maximum stated number of Operating Days.
  • A valid inspection request extends the timeline once.
  • The aim is to exhaust the internal process before outside enforcement is pursued.

Payment

Once an amount is finalised, payment becomes a separate issue

When a reimbursement amount becomes agreed or determined, the seller must pay it directly to the buyer within the stated period. From that point, delay has its own consequences.

When payment is due

The payment deadline follows finalisation of the reimbursement amount.

  • Payment is due within 4 Operating Days of finalisation.
  • The amount due is the recoverable amount after the coverage percentage is applied.
  • The seller pays the buyer directly.

If payment is late

The agreement adds daily delay amounts and contractual interest.

  • €2 per full or partial day of delay becomes payable.
  • Late Payment Interest accrues on the outstanding amount.
  • Longer non-payment can become a repudiatory breach.

Outside enforcement

After the internal process ends, the matter moves outside the platform

Once the internal rounds are exhausted, the matter can move to the District Court. The agreement sets out how Condensis supports that stage and what costs can still arise.

District Court enforcement

Court enforcement does not require the other party's consent once the internal process is exhausted.

  • The buyer may seek enforcement if a finalised amount remains unpaid.
  • Condensis pays a fixed €120 credit once the buyer provides proof of District Court filing.
  • Additional enforcement costs can arise on top of the reimbursement amount itself.
